General Terms and Conditions of Sale

1. Purpose and scope of application

These general terms and conditions of sale (the "GTC") govern the distribution services offered by Lirenprism under the brand FaireDuBruit ("we"), from the website en.fairedubruit.com. The publisher's full identity can be found in the legal notice.

The GTC are addressed exclusively to professionals. By subscribing, the client declares that they are acting in the context of their professional, commercial, craft or liberal activity, and not as a consumer.

Any order implies full and complete acceptance of these GTC.

2. Sale, payment and invoicing

Lirenprism sells the service in its own name and on its own behalf; it is the client's sole contracting party. It issues invoices and, if applicable, credit notes electronically.

Payment is collected on its behalf by Mollie B.V., a payment institution, by credit card or SEPA direct debit. Lirenprism does not receive or store the client's credit card details.

VAT is applied according to the client's country: French VAT at the rate in force for a client established in France; reverse charge by the client ("Reverse charge") for a client established in another Member State of the European Union whose intra-community VAT number is verified with the European Commission (VIES); VAT not applicable, article 259-1 of the CGI, for a client established outside the European Union. A client from another Member State whose number is not verified will be charged French VAT.

3. The service

The service consists of distributing the client's company and products on thematic distribution sites of the FaireDuBruit network (a "thematic site" is a site dedicated to a field), in the form of pages that answer the questions that the market asks artificial intelligences. The thematic sites available for the product are indicated to the client before ordering.

  • For each product and each thematic site, we offer 15 questions; the client chooses and adapts them; we write the answers and refine them, with the help of artificial intelligence tools. The tests are written by an expert (article 7).
  • The pages are published in French and English.
  • For all clients, general questions published over time lead to the product listing. Comparatives, which showcase the product without ranking, are added free of charge when FaireDuBruit has a sufficient amount of relevant content; they are neither guaranteed nor periodic.
  • With the Résonance and Concerto subscriptions, the client receives the dated log of visits, on their pages, by bots that present themselves as those of artificial intelligences. When the publisher of the artificial intelligence publishes its bots' addresses, the visit is verified by its address; otherwise, it relies on the signature declared by the bot, and it is flagged as such.

We guarantee neither the referencing of the pages by artificial intelligences, nor a rank, score or position relative to a competitor.

4. Order, price and payment

The prices are those displayed on the page Our offer on the date of the order. They are expressed excl. VAT. The service includes:

  • the publication, paid once per product, depending on the number of thematic sites chosen;
  • a subscription per product (article 5), without which the pages do not remain online (article 8): the annual Echo subscription, the first year of which is included in the publication, or a monthly subscription, Résonance or Concerto;
  • if applicable, an additional language, at launch or later, and modifications outside the subscription, paid on a unit basis.

A discount applies to the total order, including publication and monthly subscriptions, for all products: 10% starting from 2 products, 15% starting from 3 products. It is recalculated at each due date based on the number of products with an active subscription. It does not apply to the renewal of the Echo subscription, the price of which already takes into account the number of products (article 5).

The pages are put online after the client validates the questions. A product's subscription runs from the time its pages are put online.

The publication is paid for at the time of the order. This first payment authorizes the following direct debits on the same payment method: a monthly subscription is debited each month, on the anniversary date of the first product of the order being put online; a product put online during the month is billed pro-rata for the remaining days until the due date. The Echo subscription is renewed each year on the anniversary date of the first product of the order being put online, by a direct debit on the same payment method; the client is informed of this by email at least 30 days in advance, with the amount and the date.

If a direct debit fails, the client is informed of this by email on the same day. Two new attempts are made, three and seven days later; the client can also pay at any time from their client area. Without payment seven days after the first failure, the subscription is suspended under the conditions of Article 8. The same applies to a payment contested by the client with their bank, without any new direct debit attempt.

Any price change of an ongoing subscription is notified to the client at least 30 days before the due date to which it applies; the client can cancel before this due date.

5. Subscriptions

  • Écho: the pages remain online and open to indexing for one year from the first product of the order being put online; this first year is included in the publication. The subscription is then renewed each year, at the price displayed on the page Our offer, which depends on the number of products online on the renewal date.
  • Résonance: the pages remain online and open to indexing, with the log of bot visits; to this is added a monthly automatic review of the client's website, to check that the product information is up to date; any changes found are applied across all of their pages and in all of their languages, and the content is readapted to artificial intelligence criteria.
  • Concerto: Resonance, plus the product test by an expert and, each month, an article based on this test, under the conditions of Article 7.

The client can switch from the Echo subscription to a monthly subscription at any time from their client area. During the first year, the monthly subscription starts upon switching. In subsequent years, the unused portion of the last renewal, calculated pro-rata on a daily basis, is deducted from the first monthly payments.

A modification is the update of the product information (features, price, availability, visuals, sales pitch), applied to all of its pages and in all of its languages. It includes neither the choice of new questions, nor the replacement of the product by another.

The website review and the test included in a month are optional benefits: if unused, they do not carry over to the following months. An additional language purchased remains acquired.

5 bis. The free offer

FaireDuBruit offers a free company listing and a free product listing, in French and in English, created from the client's website and published, after their validation, on a thematic website chosen by them from those offered. The free offer includes neither questions, nor a subscription, nor the log of bot visits.

  • Only one free listing is published per website, regardless of the number of accounts requesting it, and an account only has one free listing. The website is understood as its address, without the "www" prefix or path. As long as no listing has been created for a reserved website, the reservation does not prevent a request from another account, which takes it over. If a listing already exists for the client's website without them having requested it, they can write to the contact in Article 15 from one of their company's addresses; Lirenprism verifies the request and, if it is well-founded, attributes the listing to them.
  • The listing is published for 12 months. 30 days before the due date, the client is invited to revalidate it; once revalidated, it remains online for 12 more months, free of charge. Without revalidation, it is excluded from search engines upon the due date, then deleted 6 months later.
  • The listing is not updated. The client can withdraw it at any time from their client area: it is then unpublished, and a new listing, created by a new scan of their website, can be requested for the same website.
  • The free offer is reserved for accounts that have not subscribed to any paid offer. Upon the client's first payment, their free listing is withdrawn, and unpublished if it is online; their account can no longer request one. Their distributions set up their listings through a new scan of their website.
  • The information on the listing is what the client has validated; they guarantee its accuracy (Article 6).
  • FaireDuBruit guarantees neither the indexing of the listing, nor its inclusion by artificial intelligence systems.

6. Client obligations

The client provides accurate and up-to-date information about their business and products, and guarantees they hold the rights to the trademarks, texts, and images they transmit. They guarantee that their products comply with applicable regulations. They approve the proposed questions: until they are, the pages will not be put online.

We may refuse to publish content that is contrary to the law, misleading, or infringes on the rights of a third party. In the event of a serious breach of these Terms and Conditions, illegal content, fraud, or payment failure, we may suspend the distribution or terminate the service; the client will be informed in advance as far as possible.

7. The test program (Concerto subscription)

An industry expert recruited by FaireDuBruit tests the product, then writes a different article each month based on this test; the test is updated as the product evolves. The test and articles are published on a thematic site chosen by the client.

  • The product is provided by the client at their shipping expense; it is not returned unless previously agreed. The version or batch tested is indicated on the page.
  • The test indicates whom the product is suitable for and in which cases, as well as its limitations.
  • The client may report a factual error before publication; the conclusion remains that of the expert.
  • Each page, test and articles, bears at the top the mention: "Product tested as part of the FaireDuBruit testing program, at the brand's request." Links to the client are indicated as sponsored.
  • If the test reveals a security or compliance issue, it is not published and the brand is informed. The month concerned remains due.
  • If a month's article cannot be published due to our fault, the price difference between Concerto and Résonance for that month is refunded or deducted.
  • The test and published articles remain online as long as the product has an active subscription, including after a switch to Résonance or Écho.

8. Term, termination and payment stoppage

Monthly subscriptions have no minimum term commitment and are automatically renewed each month; the Écho subscription is automatically renewed each year. The client can cancel their subscription at any time from their client area; the cancellation takes effect at the end of the period already paid for or included in the publication — the month for a monthly subscription, the year for the Écho subscription —, without further billing, and can be cancelled until that date.

Without an active subscription, whether after a cancellation or a payment failure, the product pages, including tests, are removed and excluded from search engines. If the client subscribes to a subscription again within 6 months, the pages are put back online without any new publication payment. Beyond 6 months, they are deleted, and a new distribution requires a new publication.

The client may request from support the removal of a published distribution. Their pages are then removed from the thematic sites and excluded from search engines. The credit used by this distribution is not restored.

A refund granted by Lirenprism results in a credit note, issued on the invoice concerned and refunded to the payment method used. Unused distribution credits from the refunded order are removed; already published pages remain governed by this article.

9. Right of withdrawal

The service begins as soon as the payment is approved. The client, acting as a professional, waives any right of withdrawal as soon as execution begins. This waiver is accepted at the time of the order.

10. Ownership

The client retains their rights to their trademarks and the information they provide, and authorizes us to use them for distribution for the duration of the service. The thematic sites, pages, test texts, and the methodology remain the property of Lirenprism. The client may quote and share their pages and tests, with the mention provided for in Article 7 for tests. They do not reuse their texts on other sites, including their own: the same text published at two addresses is treated as duplicate content by search engines, to the detriment of both pages.

11. Liability

We commit to publishing and maintaining the pages described in Article 3. We do not guarantee any commercial results, any pickup by artificial intelligences, or any ranking, as these systems are beyond our control.

To the extent permitted by law, our liability is limited to the amounts paid by the client for the product concerned during the twelve months preceding the event giving rise to the claim.

12. Personal data

The processing of personal data is described in the privacy policy.

13. Amendment of the GTC

We may modify these Terms and Conditions. The applicable version is the one in force on the date of the order; for an active subscription, any modification is brought to the client's attention before its next renewal.

14. Applicable law and disputes

These Terms and Conditions are governed by French law. In the absence of an amicable settlement, and in compliance with the rules applicable between professionals, any dispute shall fall under the exclusive jurisdiction of the commercial court in whose jurisdiction the publisher's registered office is located.
